Terms of Service

1. Acceptance

These Terms of Service (the “Terms”) are a binding agreement between you (“you”) and Seiraiyu LLC, a Georgia, USA limited liability company (“Seiraiyu”, “we”, “us”). By creating an account or using the Kisenon service (the “Service”) you agree to these Terms. If you do not agree, do not use the Service.

2. Account requirements

You must be at least 18 years old to use the Service. You must provide accurate registration information. You authenticate via a third-party identity provider (currently Google or GitHub); you are responsible for the security of that identity. You may not share your account or permit anyone else to use it.

3. Acceptable use

You agree not to:

Use the Service to store or transmit content that is unlawful, infringing, defamatory, or that you do not have the right to store or transmit.
Use the Service to attack, probe, or interfere with the Service itself, with other users, or with any third party (denial-of-service, scanning, credential stuffing, malware distribution, etc.).
Resell, sublicense, or rent the Service.
Circumvent quotas, rate limits, or access controls.
Scrape or automate beyond what the documented public API permits.

We may suspend or terminate your account immediately for abuse.

4. Service description

The Service is a hosted Postgres-compatible database with branching, scale-to-zero, connection pooling, and snapshots. The storage layer is derived from open-source software released by Neon Inc. under the Apache 2.0 license, with modifications by Seiraiyu LLC. 5. Data durability and backups

The Service is designed for durability. Committed writes are recorded in a write-ahead log that is synchronously replicated to a three-node safekeeper quorum: a transaction is acknowledged only after a majority (two of three) of those nodes have durably received it. The write-ahead log and data pages are continuously archived to versioned cloud object storage, and the control-plane metadata is backed up on a nightly schedule with continuous log archiving. You can additionally create on-demand and scheduled snapshots and restore them as new branches, subject to your plan’s retention window.

No storage system is infallible. Except as expressly set out in a separate written service-level agreement signed by us, we do not warrant that the Service will be free from data loss, and you remain responsible for keeping your own independent backups of any data you cannot afford to lose.

6. Availability

We operate the Service on a commercially reasonable, best-effort basis and may modify, suspend, or discontinue features with reasonable notice for material changes. Except as expressly set out in a separate written service-level agreement signed by us, the Service is provided without a committed uptime percentage. We may perform maintenance that temporarily interrupts the Service.

7. Your content

You retain all rights to the data and content you place into the Service (“Your Content”). You grant Seiraiyu a worldwide, royalty-free license to host, store, transmit, replicate, back up, and display Your Content solely as necessary to provide the Service to you. We do not mine Your Content for advertising, profiling, or model training. Where you use the Service to process personal data of third parties, our Data Processing Addendum governs that processing.

8. Fees and payment

Paid plans are billed in advance on a recurring basis, plus any usage-based charges (such as compute time, storage, and data transfer) metered during the period. Fees are stated exclusive of taxes, which you are responsible for. Charges are non-refundable except where required by law. We may change pricing with at least 30 days’ notice; continued use after the change takes effect constitutes acceptance. A free tier, where offered, may carry usage limits and may change or end with notice.

9. Termination

You may terminate your account at any time by deleting it from the settings page or by emailing legal@seiraiyu.com. We may terminate or suspend your account for material breach of these Terms, for abuse, for non-payment, or in response to legal process. On termination we stop serving Your Content and begin removing it; Your Content and its backups age out on our normal retention cycles rather than being erased on a fixed deadline, and certain records (such as audit and billing records) are retained for the periods described in our Privacy Policy and Data Processing Addendum, or as required by law. You may request an export of your account data before deletion.

10. No warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. EXCEPT AS EXPRESSLY STATED IN A SIGNED SERVICE-LEVEL AGREEMENT, SEIRAIYU DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEIRAIYU’S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF (a) THE FEES YOU PAID TO SEIRAIYU IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (b) ONE HUNDRED US DOLLARS ($100). SEIRAIYU IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless Seiraiyu from claims arising out of (a) Your Content, (b) your breach of these Terms, and (c) your use of the Service in violation of law. We agree to defend, indemnify, and hold you harmless from third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party’s US intellectual property rights.

13. Governing law and venue

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-laws principles. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to personal jurisdiction there.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you by email or in-app at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The current version is identified at the top of this page.
